These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and QRZipp ("Company," "we," "us," or "our") governing your access to and use of the qrzipp.com website and QR code generation service (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

QRZipp provides an online platform for creating, customizing, and managing QR codes. Our Service includes:

QR code generation for various data types (URLs, text, contact information, WiFi credentials, etc.)
QR code customization (colors, styles, logos)
QR code download in multiple formats (PNG, SVG, PDF, EPS)
Dynamic QR codes with editable destinations (paid plans)
QR code scan analytics (paid plans)
QR code management dashboard (paid plans)

3. User Accounts

3.1 Account Creation

You may use basic features without an account. To access paid features, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibilities

You agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your password secure and confidential
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, illegal activity, or at our sole discretion. You may delete your account at any time through your account settings.

4. Subscription Plans and Payment

4.1 Free Plan

Our free plan allows unlimited static QR code generation without an account. Static QR codes are generated in your browser and are not stored on our servers.

4.2 Paid Plans

Paid plans (Pro and Premium) are billed on a monthly or annual basis. By subscribing, you authorize us to charge your payment method at the then-current rate. Prices are subject to change with notice.

4.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel at any time through your account settings or by contacting us.

4.4 Refunds

We offer a 14-day money-back guarantee on paid plans. If you are not satisfied within 14 days of your initial purchase, contact us for a full refund. Refunds are not available for renewal charges or after the 14-day period.

5. Acceptable Use Policy

You agree NOT to use the Service to:

Violate any applicable laws, regulations, or third-party rights
Create QR codes linking to malicious, harmful, or illegal content
Distribute malware, viruses, or other harmful code
Engage in phishing, fraud, or deceptive practices
Infringe on intellectual property rights of others
Distribute spam or unsolicited communications
Harass, abuse, threaten, or harm others
Interfere with or disrupt the Service or its infrastructure
Attempt to gain unauthorized access to our systems
Use automated means to access the Service without permission
Resell or redistribute the Service without authorization
Create QR codes for adult content, illegal drugs, weapons, or gambling (where prohibited)

We reserve the right to remove any QR codes and terminate accounts that violate these policies.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by QRZipp and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without prior written permission.

6.2 Your Content

You retain ownership of any content you upload or create using our Service (logos, images, QR code data). By uploading content, you grant us a limited license to process and display that content solely for the purpose of providing the Service.

6.3 QR Codes You Create

QR codes you create are yours to use as you wish, subject to these Terms. You are responsible for ensuring you have the right to use any content encoded in your QR codes.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability and fitness for a particular purpose
Warranties that the Service will be uninterrupted, error-free, or secure
Warranties regarding the accuracy or reliability of any information obtained through the Service
Warranties that defects will be corrected

We do not warrant that QR codes will always scan correctly on all devices or that dynamic QR code redirects will always be available.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL QRZIPP, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

Loss of profits, data, use, or goodwill
Service interruption or system failure
Cost of procurement of substitute services
Unauthorized access to or alteration of your data
Any other intangible losses

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless QRZipp and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you create, upload, or encode in QR codes

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and QRZipp regarding the Service and supersede all prior agreements and understandings.
